These terms and conditions (henceforth known as the Agreement) apply to any person applying for membership of the Institute, whose registered addresses are below. Membership of the Institute is free of charge, but is available only to suitably qualified and experienced individuals. The Institute maintains the right to determine the required qualification and experience, and does not enter into correspondence on this or other matters. Members may use the letters specified on the website after their name, to denote their qualification and experience. In granting membership, the Institute makes no warranties as to the abilities or standing of the member. The Institute retains the right to alter the terms and conditions of membership without giving notice. Membership is conditional on the member's accepting new and amended terms and conditions whenever the Institute introduces them. Membership is for an initial period of three years from the date the member enters into membership. It is renewable at the discretion of the Institute. The Institute retains the right to withdraw membership from any member at its discretion at any time, and without giving reasons. Members will at all times seek to provide the best quality service and maintain the highest professional standards. Members will abide by codes of practice as shall be defined by the Institute from time to time. Before starting work, the member will gain as much knowledge as necessary to provide the best solution for the client. Members will not accept commissions which might harm their clients or their clients' customers. Members agree to indemnify the Institute against all claims that might be made against it, arising out of the Member's action, negligence or failure. The member shall not at any time make any public statement in relation to the Institute, and shall not, after his/her membership has terminated, wrongfully represent him/herself as being engaged by or connected with the Institute. Any notice to be given under this Agreement shall be in writing or by email. Notices may be served by either party by personal service, by post or email addressed to the other party at (in the case of the Institute) its office listed below, and (in the case of the Member) his/her last known address, and any notice given by letter shall be deemed to have been served at the time at which the letter was delivered personally or if sent by post would be delivered in the ordinary course of post. Nothing herein shall be deemed to render the Member an employee or agent of the Company. Failure of either party to insist upon strict performance of any provision of this Agreement or the failure of either party to exercise any right or remedy to which it is entitled hereunder shall not constitute a waiver thereof and shall not cause a diminution of the obligations under this Agreement. No waiver of any of the provisions of this Agreement shall be effective unless it is expressly stated to be such and signed by both parties. If any provision of this Agreement is held invalid, illegal or unenforceable for any reason by any Court of competent jurisdiction, such provision shall be severed and the remainder of the provisions of this Agreement shall continue in full force and effect as if this Agreement had been executed with the illegal or unenforceable provision eliminated. This Agreement shall not be construed so as to create a partnership or joint venture between any of the parties. Nothing in this Agreement shall be construed so as to constitute any of the parties the agent of another. This Agreement constitutes the entire understanding and agreement between the parties relating to the subject matter of this Agreement. With the exception of statements made fraudulently, each party agrees that it shall have no remedy in respect of any untrue statement made to him/her upon which he/she relied in entering this Agreement and his/her only remedies can be for breach of contract This Agreement is governed by the laws of England and Wales and the parties hereby submit to the exclusive jurisdiction of the Courts of England and Wales.
